End User License Agreement (EULA) for Job Site Tracker

1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Walsh iTechnology LLC, operating as TWALSH Tech ("we," "us," "our," or "Company"), regarding your use of the Job Site Tracker mobile application (the "App").

By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the App.

2. Description of Service

Job Site Tracker is a mobile application that provides automatic location-based time tracking for job sites. The App uses geofencing technology to automatically track when you arrive at and leave saved locations, allowing you to record work time without manual input.

The App offers both free and subscription-based features. Subscription features include the ability to add and edit locations, projects, and visits, as well as import and export data.

3. Eligibility

You must be at least 13 years of age to use the App. By using the App, you represent and warrant that:

  • You are at least 13 years old
  • You have the legal capacity to enter into these Terms
  • You will comply with all applicable laws and regulations
  • You will not use the App for any illegal or unauthorized purpose

4. Account and Data

4.1 iCloud Account

The App uses Apple's iCloud service to sync your data across devices. To use data synchronization features, you must be signed in to iCloud with a valid Apple ID. You are responsible for maintaining the security of your iCloud account.

4.2 Data Storage

Your data is stored in your personal iCloud account. We do not have access to your data, and it is encrypted both in transit and at rest by Apple's iCloud service. You are responsible for backing up your data and maintaining access to your iCloud account.

4.3 Data Accuracy

You are solely responsible for the accuracy of the data you enter into the App. We are not responsible for any errors, omissions, or inaccuracies in your data.

5. Subscriptions and Auto-Renewal

5.1 Subscription Plans

The App offers auto-renewable subscription plans:

  • Monthly Subscription: Automatically renews every month
  • Yearly Subscription: Automatically renews every year

5.2 Free Trial

Some subscriptions may include a free trial period. The trial period will be clearly indicated at the time of subscription. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription and your payment method will be charged.

5.3 Auto-Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current subscription period. You will be charged the subscription fee to your Apple ID account within 24 hours prior to the end of the current period.

5.4 Cancellation

You may cancel your subscription at any time through your Apple ID account settings:

  1. Open Settings on your iOS device
  2. Tap your name at the top
  3. Tap "Subscriptions"
  4. Select "Job Site Tracker"
  5. Tap "Cancel Subscription"

Cancellation will take effect at the end of the current subscription period. You will continue to have access to subscription features until the end of the period for which you have paid.

5.5 Refunds

All subscription fees are processed through Apple's App Store. Refund requests must be submitted to Apple through their standard refund process. We do not process refunds directly. For refund requests, contact Apple Support or visit support.apple.com.

5.6 Price Changes

We reserve the right to change subscription prices at any time. Price changes will not affect your current subscription period but will apply to subsequent renewal periods. You will be notified of price changes before they take effect.

6. Permissions and Location Services

6.1 Location Permission

The App requires "Always" location access to function properly. This permission is necessary to:

  • Track your arrival and departure from job sites automatically
  • Monitor geofences in the background
  • Provide accurate time tracking even when the app is not actively open

You can revoke location permission at any time through your device settings, but this will disable the App's core functionality.

6.2 Notification Permission

The App may request notification permission to alert you when you arrive at or leave job sites. Notification permission is optional, and you can manage it through your device settings.

7. Acceptable Use

You agree not to:

  • Use the App for any illegal purpose or in violation of any laws
  • Attempt to reverse engineer, decompile, or disassemble the App
  • Modify, adapt, or create derivative works based on the App
  • Remove, alter, or obscure any proprietary notices or labels in the App
  • Use the App to transmit any viruses, malware, or harmful code
  • Interfere with or disrupt the App's functionality or servers
  • Use automated systems to access the App without permission
  • Share your account or subscription with others

8. Intellectual Property

The App, including its design, features, functionality, and content, is owned by Walsh iTechnology LLC and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for your personal or commercial use in accordance with these Terms. This license does not include the right to:

  • Resell or redistribute the App
  • Use the App for any commercial purpose other than your own business
  • Copy, modify, or create derivative works of the App

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF DATA
  • UNINTERRUPTED OR ERROR-FREE OPERATION

We do not warrant that the App will meet your requirements, operate without interruption, or be error-free. Location tracking accuracy depends on various factors including GPS signal strength, device capabilities, and environmental conditions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALSH ITECHNOLOGY LLC, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE APP
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR USE OF YOUR DATA
  • DAMAGES RESULTING FROM ERRORS OR INACCURACIES IN DATA TRACKED BY THE APP

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Walsh iTechnology LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content or data you submit through the App

12. Third-Party Services

The App integrates with third-party services, including:

  • Apple iCloud: For data synchronization and storage
  • Apple App Store: For app distribution and subscription management
  • Firebase (Google): For analytics, crash reporting, and performance monitoring

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of these third-party services.

13. Termination

13.1 Termination by You

You may stop using the App at any time by deleting it from your device. Cancellation of your subscription does not automatically delete the App or your data.

13.2 Termination by Us

We reserve the right to suspend or terminate your access to the App at any time, with or without cause or notice, for any reason, including if you breach these Terms.

13.3 Effect of Termination

Upon termination, your right to use the App will immediately cease. We are not obligated to provide refunds or compensation for any unused subscription period. Your data stored in iCloud will remain accessible to you through your iCloud account.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date
  • Providing notice through the App when practical

Your continued use of the App after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the App.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Walsh iTechnology LLC regarding your use of the App and supersede all prior agreements and understandings.

19. Apple-Specific Terms

The following terms apply to users who download the App from the Apple App Store:

  • This agreement is between you and Walsh iTechnology LLC, not Apple, Inc.
  • Apple is not responsible for the App or its content
  • Apple has no obligation to provide support or maintenance for the App
  • In the event of any failure of the App, you may notify Apple, and Apple will refund the purchase price (if applicable)
  • Apple is not responsible for addressing any claims relating to the App, including product liability, consumer protection, or intellectual property claims
  • Apple is a third-party beneficiary of these Terms and may enforce them against you
